Wholesale Only / Business Use.
We operate as a wholesale supplier. You represent and warrant that you are purchasing for resale (or business use), not for personal use.

Age & Legal Requirements.
You must be at least 21 years old (or older if your jurisdiction requires a higher age) to order products containing nicotine or related vape/tobacco items.
You also represent that your business is properly licensed under all applicable federal, state, and local laws to purchase, distribute, and sell vape, tobacco, or related products.

Account / Verification.

• You will need to register an account with accurate business details.

• We may require you to submit documentation (e.g. resale certificate, business license, tax ID, state tobacco or vapor license) for verification.

• We reserve the right to refuse, suspend, or terminate your account for non-compliance, fraud, or misrepresentation.

Product Descriptions.
We strive to provide accurate descriptions, images, and specifications. However, we do not guarantee completeness or that every detail is error-free.

Pricing & Taxes.
All prices are in [USD / your currency] and exclude applicable taxes, duties, or shipping costs unless otherwise stated.
You are responsible for all applicable excise taxes, sales taxes, import duties, tariffs, or other governmental fees in your jurisdiction.

Order Acceptance.
Your placement of an order is an offer to purchase. We reserve the right to accept or reject any order, in whole or in part, for any reason (e.g. non-compliance, stock unavailability, inability to verify business credentials).

Minimum Orders & Bulk Terms.
We may enforce minimum order quantities, case packs, or bulk pricing rules. These will be clearly stated at checkout or in product listings.

Payment Methods.
We accept payment via [credit cards, ACH, wire transfer, etc.]. Payment must be cleared before order processing.
We may require partial or full prepayment or deposits, especially for new accounts or large orders.

Refunds & Credit.
Refunds for approved cancellations or returns will be issued via the original payment method (or store credit), minus any restocking or processing fees, subject to the terms in Section 6.

Processing & Shipping.

• Orders are processed in [2-5 business days] after payment is confirmed.

• Shipping times provided are estimates — we are not liable for carrier delays, customs, force majeure, etc.

Carrier Restrictions & Legal Compliance.
Vape and tobacco products are subject to strict shipping regulations (e.g. PACT Act, state and federal laws).
We may limit or refuse shipment to certain states, jurisdictions, P.O. boxes, or residential addresses if compliance is uncertain.

Title & Risk of Loss.
Title and risk pass to you upon delivery to the carrier (FOB origin basis), unless otherwise agreed. Once the carrier accepts goods, you bear the risk of loss, damage, or theft.

Inspecting & Claims.

• You must inspect shipments promptly upon receipt.

• Any damage, shortages, or errors must be reported in writing within [5 business days] of delivery.

• If bundles or pallets are shipped, inspect before signing; note damage or “pending inspection” on the delivery receipt.

Defective / Manufacturer Warranty.
We warrant (to the extent permitted by law) that products are free from manufacturing defects under normal use for [30 days / 60 days] from delivery. This excludes damage from misuse, neglect, alteration, or improper storage.

Return Authorization.
Returns must have prior written authorization (RMA) from us. Unauthorized returns may be refused or returned at your expense.

Limitation of Remedy.
Our responsibility is limited to repair, replacement, or refund (at our discretion) of defective items. We shall not be liable for any indirect, incidental, or consequential damages.

Resale Obligations.
You agree that in reselling, you will:

• Comply with all federal, state, and local laws governing labeling, advertising, youth access restrictions, flavor bans, and marketing restrictions;

• Not misrepresent or make unverified health claims;

• Provide all necessary warnings and product safety info to your downstream customers;

• Responsibly manage returns or recalls as required by regulators.

Regulatory Changes & Discontinued Products.
You acknowledge that vape/tobacco laws can change rapidly (state bans, FDA actions). We may discontinue or adjust product offerings accordingly. You agree not to hold us liable for legality changes in your market.

Indemnification.
You agree to indemnify, defend, and hold us harmless from any claims, losses, damages, fines, or liabilities (including attorneys’ fees) arising from your resale or misuse of products, regulatory non-compliance, or violation of these Terms.

Ownership.
All content, logos, images, trademarks, software, and text on the site remain our property (or licensors’) and are protected by copyright, trademark, and other laws.

License.
You are granted a limited, non-exclusive, non-transferable license to view, download, or print portions of the content for your business use, provided you do not alter or replicate them for commercial use without permission.

Prohibited Actions.
You may not scrape, copy wholesale prices for unauthorized use, replicate designs, frame content, or engage in reverse engineering.

“As Is” / No Warranties.
Except where prohibited by law, our services and products are provided “as is” without warranties of any kind (express, implied, merchantability, fitness for a particular purpose, noninfringement).

Limitation of Liability.
To the maximum extent permitted by law, our total liability (for any cause, whether contract, tort, or otherwise) shall not exceed the amount you paid to us for the specific order giving rise to liability. We are not liable for indirect, incidental, punitive, or consequential damages.

Force Majeure.
We are not liable for delays or failure to perform arising from events beyond reasonable control (e.g. natural disasters, regulatory changes, carrier delays, pandemics, supply chain disruptions).

Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

Venue
Any legal action or proceeding arising under or relating to these Terms shall be brought exclusively in the state or federal courts located in Glynn County, Georgia, and you hereby consent to the personal jurisdiction and venue of such courts.

Waiver of Class Actions
You agree that any claims shall be brought on an individual basis only and not as part of a class, consolidated, or representative action.

Severability
If any part of this section is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
